Nathaniel Jones advises
and represents clients on all aspects of business and commercial law, and
business and commercial litigation.
Mr. Jones, in his
business and commercial law practice, provides consultation, advice and
legal representation to clients with respect to the broad range of business
transactions, including business, asset and real property acquisitions and
sales; and, debt, equity and other financings. In doing so, Mr. Jones
utilizes the different disciplines that must be marshaled in complex
transactions, including commercial, tax, intellectual property, ERISA, real
estate, and environmental law, to provide comprehensive assessments,
evaluations and recommendations to clients regarding due diligence and the
structuring and negotiation of the transactions that best satisfy the
objectives of the client.
Mr. Jones also advises
and represents clients in the numerous types of business financings,
including asset acquisitions, working capital, lines of credit, and capital
infusion.
He also advises
and represents clients on the wide range of business law issues, including
the formation and dissolution of business entities, including corporations,
partnerships, joint ventures, limited liability companies, and limited
liability partnerships; and, the various related organization document
issues, including provisions relating to management, control, non-compete,
transfer restrictions, buyout, and capital contribution conditions and
requirements.
Mr. Jones also advises
and represents business clients as outside general counsel, particularly
closely held businesses, regarding the
various business and legal issues inevitably encountered on a regular basis,
and with respect to the various and variety of disputes which arise during
the course of the clients business, including the negotiation and
settlement, alternative dispute resolution, and litigation, if necessary, of disputes and
claims.
Mr. Jones, in his
business and commercial litigation practice, provides consultation, advice
and legal representation to clients with respect to the broad range of
business and commercial litigation matters, including complex litigation.
He is particularly experienced in litigation matters involving contract
disputes and business torts, including civil fraud, and including
claims and disputes arising out of business and asset sale and acquisition
transactions; management agreements; lease agreements; stockholder, member,
partnership, and joint venture agreements; non-competition agreements;
employment agreements; vendor agreements; and, contractor agreements.
Mr. Jones practices in
state and federal courts, at both the trial and appellate level, and has
represented clients and litigated cases in many areas of his practice
outside the State of Maryland, including in the District of Columbia,
Virginia, Pennsylvania, Delaware, Michigan, Florida, Georgia, and Arizona.
Mr. Jones has been a
member of the Maryland Bar for more than 35 years.
Prior to organizing Jones
& Associates in 1995, Mr. Jones was a partner at the law firm of Venable,
Baetjer and Howard for four and one-half years in the Business Law Division
of the firm. Mr. Jones principal area of practice was corporation,
partnership and business law, particularly, business and asset sales and
acquisitions, joint ventures, real property development and commercial
leasing, and as general counsel to closely held corporations and other
business entities.
Prior to Venable, Mr.
Jones was with the law firm of Miles & Stockbridge, in its Corporate
Department, where he became a partner of the firm in 1988. At Miles &
Stockbridge, Mr. Jones principal area of practice was also corporation,
partnership and business law.
Prior to Miles & Stockbridge, Mr.
Jones served as a Captain in the United States Air Force for four and one-half years as a member of The
Judge Advocates General Corps. During his military career, Mr. Jones was
stationed at Eglin Air Force Base, Florida; Osan Air Base, Republic of
Korea; and, Headquarters, Military Justice Division, Washington, D.C.; and,
handled numerous criminal and civil military matters.
Mr. Jones is a long time
resident of Baltimore City, Maryland, where he received his primary and
secondary education. Mr. Jones is and has been involved in a number of
professional and civic organizations, and is and has been a member of the
board of directors for a number of nonprofit organizations, including, among
others, Roberta's House, Inc., The Reginald F. Lewis Museum of Maryland African American History &
Culture, Maryland Legal Services Corporation, Associated Black Charities, Inc., Baltimore City Chamber of
Commerce, Inc., United Way of Central
Maryland, Inc., Sheppard and Enoch Pratt Foundations, Inc., Sheppard Pratt
Health System, Inc., and Judicial Nominating Commission for Baltimore City.
