• represented
the purchaser in the acquisition and financing of 89 Pizza Hut restaurants
in a single transaction in Detroit, Michigan, which included the purchase of
40 of the underlying parcels of real property, and the acquisition of
assignments of third party leases for the remaining restaurants;
• represented the
owner and developer in the acquisition, financing and construction of a
300,000 square foot, ten-story commercial office building on South Howard
Street, in Baltimore;
• represented the
owner in the acquisition and financing of two funeral home business in
Prince George’s County, Maryland and Washington, DC;
• represented a
126-bed, not-for-profit, general hospital in Newport News, Virginia, in its
financial and management restructuring and reorganization, including a
Chapter 11 reorganization under the U.S. Bankruptcy Code;
• represented the
developer in the acquisition, financing and conversion of the old office
building on Eutaw Street, in Baltimore, to a 55 unit moderate-income
apartment building;
• represented the
acquirer in the acquisition and financing of a long haul trucking business
and trucking facility, in an exchange of stock transaction;
• represented the
owners in the acquisition of a 100 bed hotel in Baltimore’s Inner Harbor,
the subsequent admission of a substantial equity partner, and the eventual
sale of their ownership interest; and,
• have represented
several commercial lenders in a wide variety of traditional and
non-traditional financing and funding transactions, including documentation
drafting and negotiation, and closing services, including term loans, lines
of credit, equity participations, payment and performance bonding, and
various types of collateralizations. |
